These Terms of Service ("Terms") govern access to and use of websites, storefronts, content, customer accounts, and ecommerce services operated by Driftless Climbing LLC ("Driftless," "we," "us," or "our"), including purchases completed through Shopify (collectively, the "Services").

By accessing the Services or placing an order, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the Services.

Eligibility

You must be the age of majority where you live and legally able to enter a binding agreement to place an order. If you allow another person to use your device or account, you are responsible for activity conducted through it.

Products and Climbing Safety

Climbing and climbing-related activities involve inherent risks of serious injury or death. Products must be selected, installed, used, maintained, and inspected appropriately for their intended application.

Follow all product instructions and warnings. Use appropriate mounting hardware and a structurally suitable climbing surface. Installation and periodic inspection should be performed by a qualified person. Do not use a product that is loose, improperly installed, cracked, excessively worn, damaged, or subject to an unresolved safety concern.

Product information provided through the Services does not replace professional design, engineering, installation, supervision, training, or safety advice. Nothing in these Terms excludes obligations or liability that cannot lawfully be excluded.

Product Information and Availability

We make reasonable efforts to present products, colors, dimensions, prices, and availability accurately. Screen settings, manufacturing variation, and the handmade or production nature of some products may cause reasonable differences. Factory Seconds may have cosmetic or manufacturing variations described on the product page.

Products and availability may change without notice. We may limit quantities, discontinue products, correct errors, or cancel an order affected by inaccurate information. If we cancel a paid order, we will refund the cancelled amount.

Orders

An order is an offer to purchase. An automated confirmation means we received the order; it does not require us to accept or fulfill it. We may reject or cancel an order for legitimate reasons, including product unavailability, pricing or description errors, suspected fraud, payment failure, shipping restrictions, or quantity limits.

You agree to provide current, complete, and accurate billing, shipping, contact, and account information. You are responsible for reviewing product selections, quantities, variants, colors, and addresses before submitting an order.

Pricing, Taxes, and Payment

Prices are shown in the currency indicated through the Services. Shipping, taxes, duties, discounts, and other applicable charges are calculated or displayed at checkout when available. You authorize Shopify and the applicable payment provider to charge the payment method submitted for the order and any clearly disclosed amount.

International customers are responsible for customs duties, import taxes, brokerage charges, and similar fees unless checkout expressly states otherwise.

Shipping, Returns, and Cancellations

The Shipping Policy and Return and Refund Policy are incorporated into these Terms. Fulfillment windows are not carrier-delivery guarantees. Cancellation may be requested before fulfillment begins but is not effective until confirmed by Driftless.

Factory Seconds are final sale as described in the Return and Refund Policy. Rights and remedies that cannot be waived under applicable law remain unaffected.

Accounts and Security

Some functions may use a Shopify customer account or browser-based identifiers. You are responsible for maintaining the confidentiality of credentials and for notifying us promptly of suspected unauthorized account activity. We may suspend access when reasonably necessary to protect customers, Driftless, or the Services.

Acceptable Use

You may not:

• use the Services for unlawful, fraudulent, abusive, or unauthorized purposes;
• interfere with the security, availability, or operation of the Services;
• introduce malicious code, scrape or harvest information through unauthorized automated means, or attempt to bypass access controls;
• impersonate another person or submit false information;
• infringe intellectual-property, privacy, publicity, or other rights; or
• use the Services or content to develop or market a competing product through unauthorized copying.

Intellectual Property

The Services and their text, graphics, photographs, logos, product designs, software, and other content are owned by Driftless or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, Driftless grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for personal shopping and legitimate business interactions with Driftless.

No ownership right is transferred. Driftless names, logos, and branding may not be used without written permission.

Reviews, Feedback, and Submissions

If you submit product feedback, reviews, photographs, or suggestions, you represent that you have the right to provide them and that they are accurate and lawful. You grant Driftless a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and display the submission for operating, improving, and promoting Driftless, subject to applicable privacy law.

We may remove submissions that are unlawful, infringing, deceptive, abusive, or unrelated.

Third-Party Services and Links

Shopify and other providers operate portions of the Services. Third-party services and websites are governed by their own terms and policies. Driftless is not responsible for an independent third party's services, content, availability, or practices, except to the extent required by law.

Privacy

Our Privacy Policy explains how personal information is handled and is incorporated into these Terms.

Service Changes and Availability

We may modify, suspend, or discontinue all or part of the Services. We do not guarantee uninterrupted or error-free availability. Planned and emergency maintenance, network failures, third-party outages, and events outside our reasonable control may affect operation.

Disclaimers

Except for express product warranties and rights that cannot legally be limited, the Services and content are provided "as is" and "as available." To the fullest extent permitted by law, Driftless disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will always be uninterrupted, secure, accurate, or error-free. Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

Limitation of Liability

To the fullest extent permitted by law, Driftless and its owners, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity arising from the Services or these Terms.

To the fullest extent permitted by law, Driftless's aggregate liability for a claim relating to a purchased product or order will not exceed the amount you paid Driftless for the product or order giving rise to the claim.

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including any non-waivable product-liability or consumer-protection obligation.

Indemnification

To the extent permitted by law, you agree to indemnify and hold Driftless and its owners, employees, and agents harmless from third-party claims, damages, and reasonable costs arising from your unlawful misuse of the Services, violation of these Terms, or infringement of another person's rights. This section does not require indemnification for Driftless's own unlawful conduct.

Governing Law

These Terms are governed by the laws of the State of Wisconsin and applicable federal law, without regard to conflict-of-law principles. Any dispute not subject to a mandatory forum under applicable law will be brought in a court with jurisdiction in Wisconsin. Mandatory consumer rights and forums provided by applicable law are not waived.

Termination

We may suspend or terminate access for a material violation of these Terms, unlawful conduct, fraud, abuse, or a security threat. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnification, and dispute provisions.

Severability and Waiver

If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.

Entire Agreement

These Terms and the policies referenced in them constitute the agreement between you and Driftless concerning the Services and supersede prior statements about the same subject, except for a separate written agreement signed by Driftless.

Changes to These Terms

We may update these Terms by posting a revised version with a new "Last updated" date. Changes apply prospectively unless applicable law permits otherwise. Additional notice will be provided when required by law.
